Addendum – Freelance Author Agreement

SUMMARY OF ROLE

Freelance Authors with Important Media participate on one or more sites in an editorial capacity, contributing and promoting relevant, interesting, content on a regular basis, in coordination with Site Directors, Managing Editors, or any other members of each site’s team. They are entitled to participation in the Company’s Revshare, based on budgets created through a 2/3 share of gross revenue accrued on each site, and distribution managed by each Site’s Director or their delegate(s).

RESPONSIBILITIES, INTELLECTUAL PROPERTY, AND COMPENSATION

Responsibilities.

The following responsibilities mirror IM’s broader values of purposeful work, group progress, and open autonomy. The Contractor agrees to:

  • Be engaged – make a good faith effort to use the platform, tools, and community resources provided, according to evolving guidelines and best practices, to maximize personal and group impact.
  • Be curious – find and cover every interesting angle, figure out a better way to connect with readers.
  • Ask important questions – create mainstream awareness for under-discussed important topics.
  • Help each other succeed – understand that the fortunes of community participants rise and fall together.
  • Suggest more – give feedback, and take it; help the best ideas and practices rise to the top.
  • Don’t worry too much – there’s a solution for every problem, humor and a useful lesson in every error, and serendipity in some as well.

Compensation.

Gross revenue received from advertisers/other customers is totaled per Site, per month, on a cash basis, and 2/3 of such total is allocated as a Revshare budget for distribution among the Site’s team. Each Site’s Director or their delegate is responsible for splitting each Site’s monthly budget among team members in a fair and mutually-agreeable way. Payments are made by the 15th of the following month, by the Company, based on breakdowns reported by each Site’s Director or their delegate.

Intellectual Property.

All blog posts or other content created on or for any IM Site are published under a Creative Commons Attribution Non-Commercial 3.0 license for general public distribution and use. However, the Company recognizes that Contractor may desire to have the option of extended commercial uses for their work. As such, seven (7) days after publication, the Contractor is granted a full Creative Commons Attribution 3.0 license for content they create, allowing for any further commercial uses desired, as long as attribution is maintained. This means that after a week, Contractor may re-use posts on their personal blog, or use/re-sell it elsewhere—although the requirement for Attribution remains. The Company is always open to discussing special arrangements concerning content ownership for specific or unusual circumstances or opportunities.
